These Terms of Service ("Terms") govern your use of the Spendmark mobile application (the "App") provided by Spendmark ("we," "our," or "us"). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the App, you confirm that you are at least 13 years of age and agree to comply with these Terms. If you do not agree, you must not use the App.

2. Account Registration

You may need to create an account to access certain features. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account

You agree to notify us immediately of any unauthorized use of your account.

3. Subscriptions & Billing

The App offers free and premium subscription tiers (Plus and Pro). Premium features are available through in-app purchases managed by Apple's App Store.

• Billing: All purchases are processed through Apple In-App Purchases. Payment is charged to your Apple ID account at confirmation of purchase.
• Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• Cancellation: You can manage and cancel subscriptions through your Apple ID account settings. Cancellation takes effect at the end of the current billing period.
• Refunds: Refund requests must be directed to Apple, as all payments are processed through the App Store.
• Free Trial: If offered, the free trial provides temporary access to premium features. If you do not cancel before the trial ends, your subscription will begin and you will be charged.

Subscription management and payment processing are handled by RevenueCat on our behalf.

4. AI Features Disclaimer

The App includes AI-powered features such as receipt scanning and spending insights. Please note:

• Not Financial Advice: AI-generated insights, spending analysis, and suggestions are for informational purposes only and do not constitute financial, investment, tax, or legal advice.
• Accuracy: While we strive for accuracy, AI-generated results (including receipt data extraction) may contain errors. You are responsible for reviewing and verifying all data.
• Receipt Processing: Receipt images are processed by third-party AI services (OpenAI). Images are used solely for data extraction and are not permanently stored by the AI provider.

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse-engineer, decompile, or disassemble the App
• Interfere with the App's operation or security
• Use automated systems to access the App in a manner that exceeds reasonable use
• Transmit malicious code or attempt to gain unauthorized access to our systems

6. Intellectual Property

The App and all its content, features, and functionality (including but not limited to design, code, graphics, and trademarks) are owned by Spendmark and are protected by intellectual property laws.

You retain ownership of the expense data and content you create within the App. By using cloud sync features, you grant us a limited license to store and process your data solely to provide the App's services.

7. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8. Disclaimer of Warranties

The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or free of harmful components, or that any data will be accurate or reliable.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Spendmark shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or financial losses arising from:

• Your use of or inability to use the App
• Errors or inaccuracies in AI-generated content or receipt scanning
• Unauthorized access to your data
• Any third-party services integrated with the App

Our total liability for any claim arising from these Terms or the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the App ceases immediately
• You may request deletion of your account and data by contacting us
• Provisions that by their nature should survive termination (including limitation of liability and intellectual property) will remain in effect

You may terminate your account at any time by deleting it from the Settings screen within the App.

11. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App and updating the effective date. Your continued use of the App after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Spendmark operates, without regard to conflict of law provisions.
